Merit Medical adds OneMark platform in $140M View Point deal

The deal adds View Point’s FDA-cleared OneMark tissue-localization system to Merit’s oncology portfolio and complements the company’s SCOUT breast-localization platform.

Merit Medical Systems has acquired View Point Medical in a transaction valued at approximately $140M, including assumed liabilities.

The deal included $90M in cash paid at closing. Two deferred payments of $25M each are due on the 1st and 2nd anniversaries of the closing date, according to Merit.

View Point manufactures the OneMark Detection Imaging System and OneMark Tissue Markers. The platform is used to localize breast and soft-tissue tumors at the time of biopsy.

OneMark has received U.S. Food and Drug Administration 510(k) clearance, according to Merit. The system uses ultrasound-enhanced tissue markers designed to be visible across commonly used imaging modalities.

The acquired technology complements Merit’s SCOUT platform, a wire-free, nonradioactive breast localization system that uses radar technology. Merit said the combination gives physicians more localization options during initial diagnostic biopsy.

Management expects View Point to contribute $2M to $4M in revenue from April 1 through December 31, 2026. For the 12 months ending December 31, 2027, the company expects $14M to $16M in revenue contribution and said the deal is expected to be accretive to non-GAAP earnings per share.
