contextflow deal gives 4DMedical a European lung CT base

The binding agreement would add a Vienna-based team, a CE-marked chest CT product suite, German reimbursement contracts, and a route for CT expansion in Europe.

4DMedical has signed a binding agreement to acquire contextflow GmbH, giving the Australian lung imaging company a planned commercial and clinical base in Europe.

The transaction would add a Vienna-based team, established European clinical relationships, and a CE-marked product suite already deployed under the European MDR framework.

4DMedical said the acquisition includes an upfront purchase price of €11.42M, or about A$18.56M, in cash and 56,235 ordinary shares. The agreement also includes contingent consideration of up to 2,589,247 zero-exercise-price options tied to performance milestones.

contextflow develops AI software for chest CT analysis. Its ADVANCE Chest CT product supports suspected lung cancer, interstitial lung disease, and COPD cases through nodule detection and quantification, longitudinal nodule tracking, quantitative lung tissue analysis, and qualitative analysis of 19 image patterns.

The combined portfolio is intended to support detection and triage of lung disease, functional assessment of pulmonary structure and performance, and monitoring of disease progression or therapy response.

4DMedical said the deal also gives it access to German insurance reimbursement contracts for lung cancer screening. The company said it plans to use the European platform to support CT expansion in the region.

Markus Holzer, CEO of contextflow, is expected to become 4DMedical’s General Manager of Europe after completion.

The transaction remains subject to conditions precedent, including regulatory approval from Austria’s Federal Ministry of Economy, Energy and Tourism under local foreign investment rules. 4DMedical said completion is expected around late July 2026.
